CORPORATE DEVELOPMENT

With a wealth of corporate transaction experience from both the sell and buy-side perspectives, we reverse engineer this knowledge to assist you in preparing your company for sale. This includes understanding the M&A activity and trends of the market you operate in and, from that, determining who are your most probable future acquirers and which elements of your business are likely to be the most sought-after / highly valued. With this information we work with you to shape your company starting with the end in mind, meaning when the time comes for you to sell your business, a successful transaction is more attainable, higher in value and smoother for all involved.

CORPORATE GOVERNANCE

We use our experience from working in-house in several rapid growth businesses to help you put in place the vital processes, structure and management analytics that will inform your strategic business decision-making, reduce friction when rapidly scaling and “professionalise” your operations to make you more attractive to any future investor/acquirer. We also help you to understand which other processes are just noisy distractions that add little value to anyone, thereby hopefully reducing the amount of time you spend bogged down in bureaucracy.

CONSTITUTION / STRUCTURING

An essential element to rapid business growth is making sure all your stakeholders are incentivised and aligned around your key strategic goals. We help you incentivise key management and employees (such as by helping with option schemes or share issues), ensure alignment between shareholders (through shareholders’ agreements and company articles) and ensure your documentation is as "investor ready" as possible.

NON-EXECUTIVE BOARD POSITIONS

There can be tremendous value in having an objective third party NED on your board, able to provide a fresh and unbiased perspective away from the fallacies of commitment bias and bandwagon appeal, and to bridge skills gaps within the management team. With significant board level experience across multiple industries and companies, we are able to provide advice on a breadth of topics but with specific strengths in strategy, finance, compliance and M&A.

FUNDRAISING

Where third party investment is required to accelerate growth or to fund pre-revenue costs, we support you through this process (from early seed to series ABCD venture capital raises) including considering whether to apply for EIS/ SEIS funding, helping to find investors (from our own network and beyond), negotiating heads of terms and supporting you through the legal and due diligence processes and post-investment business changes.

COMPANY SALES

Whilst we are not a corporate finance house specifically, we are able to providing both sell and buy side corporate finance advice on transactions, helping with negotiations, deal structuring, project managing the transaction and preparing/reviewing due diligence. We have particular expertise in buy and build projects and growth by acquisition. 

EXECUTIVE MENTORING

whilst incredibly rewarding and fun in many ways, running a company can also be a stressful and sometimes lonely endeavour. We provide you with a kind sounding board where you can talk through any business or management relational challenges.
